CONDITIONS OF FURNITURE HIRE  


ACCEPTANCE OF CONDITIONS OF FURNITURE HIRE HERE AFTER :
The fact of placing an order implies complete and unreserved acceptance of the following conditions of rental.

Definitions :

PUBLIC EXHIBITION : Shall be considered as such salons, fairs, congresses and exhibitions taking place in France or foreigner referenced by official office.

PRIVATE EXHIBITION : Shall be considered as such, all the other events.

ORDER

In order must be placed in writing, with payment enclosed, out of particular agreements made with our sales department.
Any order will be considered binding when the order form is signed.
Any cancellation of the order by the customer, at whatever date, will result in the payment, by way of penalty clause, of 20 % of the total amont of the order, this penalty payment being taken out of the amount paid down at the time of order.
Any cancellation of  order by the customer five working days before the first day of installation will result in the whole of the sum due under the order being payable.
The LIGN’EXPO Company is not commited until a written confirmation of the order is issued.
The hirer shall be granted no reduction for any change in the furniture after delivery has been made in conformity with the order being final and upon signature of the order form. Any further order, subjects to the same conditions, will be invoiced in addition

TARIFFS & MODALITIES

Prices are given for the duration of the exhibition (1 to 15 days maximum).
They hear out of taxes and out of insurance, including transport, delivery and taking back.
If the LIGN’EXPO Company is not present as provider of services at the exhibition, the price will be increased to transport.
For orders for a period of more than 15 days invoicing will be on the basis of period of 1 month from the date of delivery, in conformity with the agreed price. Each period of 1 month entered is due in full.
For the furniture, the transport is inclued within a 30 km radius round LIGN’EXPO exploitation point.
For the refrigerating equipment, the transport is inclued within a 50 km radius round Paris.
For the video material, the transport is inclued within a 50 km radius round Toulouse, Cannes and Paris.
Regarding floor and wall coverings, the calculation of the areas to be charged for will take into account wastage due to the standard carpet widths ( 2 metre widths ). Floor and wall covering areas will be rounded up to the next square metre.
The tariff may be increased by the extra labour costs incurred if delivery is made after the beginning of the exhibition, on a Sunday or public holiday, or outside normal working hours, and it should be noted that in any case special transport may be invoiced additional to the order.
Any order placed in the 48 hours preceding the beginning of the exhibition or during the event will be charged at 10 % above the rulling tariff.
Administrative charges (10 € plus tax) will be made for any invoice re-issued at the customer’s request.
At the customer’s request, he may collect the equipment at the premises of the LIGN’EXPO Company, whose address is shown on the reverse, in return for the signing of a delivery note, no price reduction being involved. A guarantee cheque was asked and restored after inspection of the equipment.
Delivery times are given for information purposes, only the mention of the day(s) on which delivery will be made may be regarded as contractual, notwithstanding any request to the contrary on the part of the hirer.
The delivery is deemed to have been effected when the LIGN’EXPO Company has deposited the rented equipment at the place of exhibition indicated by the customer.If the hirer fails, within 24 hours of the rented equipment having been placed at his disposal, to present claims, with clearly stated reasons, regarding the condition of the hired equipment and the quantities, he will be deemed to have accepted it in good condition and in conformity with his needs, and will be under the obligation so to return it at the end of the rental period.
No claim will be admitted after this time limit.

REPLACEMENT

Because of constraints due to the avaibility of stock at the time of to receive the order, the LIGN’EXPO Company reserves the right to supply in place of the equipment capable of satisfying the same usage requirements, the customer recognizing that the essential condition of his contract resides in the use that may be made of the equipment and not in its intrinsic nature.
Should the customer fail to give written refusal within 24 hours of this replacement equipment after we have given him written notice, he will be deemed to accept it and to accept the resultant obligations.

ASSURANCE - GUARANTEE

Participation in insurance is compulsory. It will cover the hirer against risks of theft (*), loss (*) or damage from the day before the official opening to the day of closure. Payment for it must accompany the order. In the absence of this payment the order will not be accepted.
The guarantee for risk of theft is contingent on the hirer’s lodging a complaint with the proper authorities and sending a copy there of to the LIGN’EXPO Company in a delay maximum of 24 hours.
(*) Out of video equipment, which must be assured by the customer.

According to the hired equipment, a guarantee is equalli asked to the order. The total is then indicated under the article in the catalogue, with exceptions of video equipments which the guarantee is equal at the forfeit total mulptiplied by 5.
This payment of guarantee was restored after the recuparation of the equipment and the integral payment of the sum dues.

HIRER’S OBLIGATIONS

The hirer has sole responsability for all loss, theft or damage sustained by the rented equipment.
He agrees to be legal guardian(article 1384 of the Civil Code) of the rented equipment.
Should the hired equipment, once delivered, be destroyed in whole or in part, by accident, or any other reason outside the control of LIGN’EXPO, the hirer may not claim a payment of the rental amounts paid, LIGN’EXPO being deemed to have completely fulfilled its contractual obligations, the hirer being deemed to have retained the hired goods. 
Any repairs for the purpose of restoring the returned equipment to good functional order, losses, thefts, will be invoiced as extras. Such invoices will be payable on receipt.
The hirer takes sole responsability for all damage, loss or theft, and expressly undertakes to cover himself for such by insurance.
The prior written agreement of the LIGN’EXPO Company must be obtained for any modification to the intented use or the make-up of the rented equipment.
The hirer states that he has taken note of the fact that the rented equipment is designed to be placed in covered premises, protected from water infiltration and on firm ground.
By express agreement LIGN’EXPO will regain possession of the rented equipment immediatly upon closure of the event. The hirer therefore undertakes to make all necessary prior arrangement to withdraw or remove all objects, documentation and other items belonging to him directly or to his suppliers, and recognizes that the LIGN’EXPO Company is in no way resposible for deterioration of or loss or damage to such, as from the official closure to event.
Whatever the duration of the rental, failure on the part of the hirer to return the installed equipment within the due time limit will give automatic rise to the issue of an invoice for an immobilization indemnity, as a penalty clause, equal to once the tax-paid tariff invoiced for the event, payable by cheque on receipt.
If the hirer does not return the equipment within 48 hours of the initial time limit, the equipment will be considered as definitively lost and the deposit payment will be retained.
Furthermore, and without prior formal notice, the LIGN’EXPO Company may regain possession of it by means of a simple emergency ruling given by the Presiding Judge of the Commercial Court or of the High Court of Toulouse.

RESERVATION OF OWNERSHIP
   
The equipment rented by the LIGN’EXPO Company remains its sole property.
However, transfer of risk takes place at the time of delivery of the equipment.
The hirer undertakes not to sell, rent out ,lend, remove or pledge the equipment which is holds nor to allow it to be seized by one of his creditors until it is returned.
In case of default, the LIGN’EXPO Company may regain possession of it following a simple emergency ruling given by the Presiding judge of the Commercial Court or of the High Court of Toulouse.

METHOD OF PAYMENT

All orders are payable immediatly, by cheque, except when special contrary conditions have been agreed with our sales department.
Any delay in payment of the sums due for any reason whatsoever by the hirer to the LIGN’EXPO Company, whatever the cause, will give rise to liability for a late payment penalty at a rate equivalent.

ATTRIBUTION OF COMPETENCE

It is expressly provided that only the Tribunal de Commerce of Toulouse is competent to take judicial cognizance of any disputes relating to the interpretation or the execution of the present contract. Any contrary clauses contained in the hirer’s commercial documentation are deemed to be non-existent. The signature of a letter of credit or a promissory note does not confer dispensation from the present clause.

PRIORITY OF THE CONDITIONS HIRING

It is expressly agreed that the present conditions of rental will apply exclusively in all commercial relationships binding the LIGN’EXPO Company with the present signatory. They replace all previous documents, all previous written or verbal agreements, and the customer’s conditions of rental in all their terms.
